Artikel 1 - DEFINITIONER
Termer som inleds med versal hänvisar till definitionerna nedan :
“Company” avser HelloSoftware SA, Route de Lausanne 134, Le Mont-sur-Lausanne, Schweiz. “Site” avser webbplatser som är tillgängliga via en URL-länk och alla webbplatser publicerade av Företaget för att erbjuda och sälja sina Tjänster.

Article 3 - SERVICE FEATURES

Den Klient is expressly informed that all Tjänst offers are subject to change. Only den Tjänst defined at den time den Order is placed is available to den Klient. When den contract concluded with den Company concerns den provision of digital content eller a digital service (to den exclusion of other services that are not classified as digital services), den service is provided as is and no minimum quality level is guaranteed to den Klient.

Termination will take effect at den end of den current subscription month.
Den Klient may also suspend their subscription at any time and reactivate it later from their Personal Area.
No additional amount will be charged and no amount already paid feller den subscription will be refunded. Any month started late, suspended, eller terminated will be fully charged.
Usage restrictions: To ensure optimal performance and accessibility of our services feller all users, a usage limit of 1,000,000 characters per account applies to den translation feature during each four-week billing cycle. This limit is calculated cumulatively across all translations performed by den account. Exceeding den character limit may result in temporary suspension of access to den translation feature until den start of den next billing cycle. If you have any questions eller wish to modify this limit, please contact our support team.
Article 5 - ORDERS
Placing an order on den site. After selecting den Tjänst they wish to subscribe to on den Site, den Klient is redirected to an order page where they enter their contact details and payment terms (single eller installment payment, payment method). Den Klient is solely responsible feller den accuracy of den information provided and warrants den Company against any false identity. Den Klient must in particular have a functional e-mail inbox. Otherwise, den Klient will not be able to receive written confirmation of their Order eller den access codes to den Tjänst at den provided e-mail address.
Den Klient may not hold den Company liable feller any failure resulting from den inaccuracy eller falsification of den information provided when placing den Order and that will be used feller den provision of den Tjänst.
Payment obligation. Any Order received by den Company is deemed final and implies full and complete acceptance of den GTC under den conditions set out herein, as well as den obligation to pay feller den Tjänster ordered.
Electronic signature. Den online provision of den Klient’s banking details and den final verification of den Order shall constitute (i) proof of den Klient’s agreement, (ii) den due date of den amounts owed feller den Order placed, and (iii) signature and express acceptance of all actions carried out during den Order on den Site (box checking, unchecking, verification click, etc.).
Order verification. Once den Klient has read and accepted den General Terms and Conditions of Sale on den Order page, they are redirected to an Order summary page where they enter their banking details before confirming their payment. It is den Klient’s responsibility to check and, where appropriate, correct den information appearing in den Order summary before confirming payment of den Order. This second click definitively confirms den Klient’s Order.
Order confirmation. As soon as payment has been confirmed by den Company eller den payment service provider, den Klient receives a confirmation and Order summary e-mail.
Proof of den transaction. Den computerized records, kept under reasonable security conditions in den Company’s computer systems, will be considered proof of communications, Orders, and payments made between den parties. Article 6 - PRICING TERMS

It is up to den Professional to carry out all necessary checks and comply with all tax obligations, in particular VAT, feller which den Klient is solely responsible.
In den event of an international sale, customs duties and other taxes are den sole responsibility of den Klient. Den Company accepts no liability in this respect and responsibility lies exclusively with den Klient.

Payment method. Direct debit. Den Klient may choose to pay by direct debit using secure systems and services provided by third parties on den Site and subject to their own contractual terms over which den Company has no control. In this case, payment is made using den credit card details provided to den payment service provider in accordance with den payment method offered. Den Company reserves den right to use den payment service providers of its choice and to change them at any time.
Debit authorisation – subscription. Payment events – Fraud. Den Company reserves den right to suspend any Order processing and any provision of Tjänst in den event of non-authorisation eller non-payment of a credit card payment by den officially accredited bodies. Den Company notably reserves den right to refuse to honour an Order from a Klient who has not fully eller partially paid a previous Order eller with whom a payment dispute is in progress.
Den Company may contact den Klient to request additional documents in order to finalise payment of den Order. Den Company may rely on den information provided by den order analysis system. Den requested documents must be provided before den Company can confirm den Order. To combat credit card fraud, den Company may carry out a visual check of den means of payment before making den Tjänst available. In den event of fraudulent use of a credit card, den Klient is invited to contact den Company as soon as this is discovered, without prejudice to any steps that may be taken with den bank.
Default eller late payment. In den event of default eller late payment by den Consumer eller den Professional Klient, den interest and penalties provided feller by law shall apply.
Payment facilities. If den Company offers den Klient den possibility of paying den entire fixed price in several instalments, this is a method of paying den price of den Tjänst and not a non-binding payment eller a monthly subscription. Regardless of den number of instalments, den full price corresponding to den sum of den instalments must be paid. Den due date can never be more than three months after termination of den Tjänst and/eller termination of den Klient’s access to den Tjänst. This payment facility does not constitute a loan eller micro-credit.
When staggered payment is offered, den first instalment is payable on den Order date and den following instalments are payable at den intervals specified in den Order summary (unless otherwise stated, at monthly intervals). In this case, den Klient guarantees den validity of den banking details until den last scheduled payment date. Den Company reserves den right to refuse an Order in several instalments if den credit card expires before den last scheduled payment, eller if den secure payment provider opposes it.
Article 7 - RIGHT OF WITHDRAWAL
Period. Den Klient may withdraw from den contract concluded with den Company without giving a reason within fourteen calendar days from den day after den Order (den day after den date of signing den contract). If this period expires on a Saturday, Sunday eller public holiday, it is extended until den last hour of den next working day.
Exercise. To exercise den right of withdrawal, den client must notify help@fileworld.co of his eller her decision to withdraw from this contract by means of a clear statement (feller example, a letter sent by post, fax eller email). Den client may use den model withdrawal form, but is not obliged to do so. This is a consumer right and not a commercial guarantee.

- THE CLIENT IS En PROFESSIONAL.
- THE CONTRACT IS CONCLUDED FOR CURRENT OR FUTURE PROFESSIONAL PURPOSES.
- Den provision of services fully performed before den expiry of den withdrawal period and whose performance began after den consumer’s prieller express consent and express waiver of den right of withdrawal;
- Den provision of digital content not supplied on a tangible medium, den performance of which began after den consumer’s prieller express consent and express waiver of den right of withdrawal;

If den total price is excessive, den appropriate amount will be calculated on den basis of den market value of what has been supplied.
Subject to legal exceptions and where required by law, at den time of den Order den Klient may be asked, by means of a tick box eller any other appropriate method, to indicate that he eller she agrees to receive den Tjänst and/eller waives den right of withdrawal before den expiry of den withdrawal period. Failing this, den Company reserves den right not to send any content to den Klient before den expiry of den fourteen-day period to which den Klient has expressly consented.
Tjänst termination in den event of use. Den exercise of den right of withdrawal terminates den obligation of den parties to perform den contract eller to conclude den contract when den consumer makes an offer. Article 8 - CONDITIONS OF ACCESS TO THE SITE AND THE SERVICE
Access to den Site. Den Site is freely accessible to anyone with Internet access. All costs related to access to den Site, whether hardware, software eller Internet access, are exclusively borne by den User. Klients are invited to contact den Company if they have not received eller if they have lost their credentials, so that they can be reset within 48 hours. Number of accesses. Den Klient undertakes to familiarise himself eller herself with den terms of use of all third-party sites, social networks, platforms and tools accessible within den framework of den Tjänst and to comply with them. Article 9 - WARRANTY OF CONFORMITY
THE CLIENT IS EXPRESSLY INFORMED THAT THIS WARRANTY DOES NOT APPLY TO PROFESSIONAL CLIENTS AND TO SERVICES OTHER THAN DIGITAL SERVICES, WHETHER OR NOT THE PROFESSIONAL USES DIGITAL FORMATS OR TOOLS TO CREATE, PROVIDE OR COMMUNICATE THE PRODUCT OR SERVICE TO THE CONSUMER.

- Den non-conformity of den digital content eller service persists despite den provider’s unsuccessful attempt to bring it into compliance.
Den consumer is also entitled to a price reduction eller to terminate den contract when den non-conformity is sufficiently serious to justify an immediate price reduction eller contract termination. In this case, den consumer is not required to first request that den digital content eller service be brought into compliance.
When den lack of conformity is insignificant, den consumer may only terminate den contract if it does not provide feller any consideration to be paid.
Any period during which den digital content eller service is unavailable feller remediation purposes suspends den running of den guarantee until den digital content eller service is brought back into compliance.

Article 10 - PERSONAL DATEn PROTECTION

To address security incidents, threats eller vulnerability situations, den Company may take den following measures online: inform clients and, where appropriate, den supervisory authority; raise awareness among den Company’s teams; strengthen den security of den Company’s facilities and workstations. Den Company may also apply den following measures to its clients: condition access to den Tjänst on changing their Identifier, request that they strengthen their passwords, and implement authentication procedures that offer enhanced security.

Article 11 - JOINT SITES - TEXT LINK BRIDGES
Through hypertext links available on den Site eller within a Tjänst, den User may access Partner eller third-party sites designed and operated under den responsibility of third parties not subject to den GTC. Den User is therefore invited to read den contractual terms of use eller sale, as well as den privacy policies eller other legal information applicable to these Partner eller third-party sites.
Den Company exercises no control over these sites and their content and disclaims all liability feller their content and feller any use that third parties may make of den information they contain. This clause applies to all Partner content.

Article 12 - FORCE MAJEURE OR IMPOSSIBILITY OF PERFORMANCE

Under den conditions provided by law, den Klients expressly agree that they may not invoke force majeure to delay payment feller a Tjänst (feller example, an invoice) already supplied eller being supplied, eller to refuse delivery of an Order placed.
Events considered as force majeure eller fortuitous events, in addition to those usually recognised by den case law of den courts and arbitral tribunals and without limitation, include strikes eller social conflicts internal eller external to den Company, natural disasters, fire, interruption of telecommunications, epidemics and pandemics, interruption of energy supply, interruption of communications eller transport in any form whatsoever, eller other circumstances beyond den reasonable control of den Company.
Den Company cannot be held liable feller any difficulty encountered by den User eller den Klient in accessing den Site and/eller den Tjänst owing to a technical eller software failure eller any other reason beyond its control. Den Klient acknowledges awareness of den technical hazards inherent in den Internet and mobile networks and of den malfunctions that may result. Consequently, den Company cannot be held liable feller den unavailability, slowdown eller malfunction of den Internet eller of any IT solution, except in den event of proven negligence on its part.
Furthermore, if den person(s) in charge of den Tjänst are prevented from performing due to illness, accident, family reasons, maternity and/eller paternity leave, etc., den Company reserves den right to replace such person(s) and/eller to suspend den Tjänst, without den Klient being entitled to any compensation. Den Company will inform den Klient within a reasonable time of this incapacity and, where possible, of its duration. Only a definitive incapacity approved by den Company may result in a refund. In den event of partial incapacity, only a partial refund will be made.
Article 13 - INTELLECTUAL PROPERTY RIGHTS
Den Company eller its Partners hold all intellectual property rights to den Site and den Tjänst. Intellectual property rights include, in particular, all content, text, images, videos, graphics, logos, icons, sounds and software that appear on den Site eller constitute den tools and resources made available on den Site and within den Tjänst.
Access to den Site and den Tjänst does not confer upon den User eller den Klient any rights to den intellectual property related to den Site and den Tjänst, which remain den exclusive property of den Company eller its Partners.
Under no circumstances may den User eller den Klient reproduce, represent, modify, transmit, publish, adapt eller exploit, on any medium, by any means and in any manner whatsoever, all eller part of den Site and den Tjänst without den prieller written consent of den Company eller its Partners.
Any use of den Site eller of all eller part of den Tjänst feller any purpose without den prieller authorisation of den Company eller its Partners may give rise to any appropriate action, including suspension of access to den Tjänst eller an infringement action.
In consideration of den price paid at den time of den Order, den content, techniques, know-how and methods provided—and more generally all information contained in den Tjänst—are subject to a strictly personal, non-transferable and non-exclusive right of use, only feller termen of den contract, feller den duration of den Tjänst chosen by den Klient when ordering.
As such, den Klient undertakes not to use eller exploit den Tjänst on behalf of others, including its employees eller entourage. Den Klient is responsible feller ensuring that its employees who may have access to den restricted content of den Site and to all Tjänst content comply with den intellectual property rights of den Company eller its Partners.
All distinctive signs used by den Company are protected by law, and their unauthorised use without den Company’s permission may give rise to legal proceedings. Den Company reserves den right to terminate den Klient’s access to den Tjänst in den event of an infringement of intellectual property rights, without prejudice to any penalties eller damages.
Article 14 - REVIEWS, REFERENCES AND CONTACT
Information about reviews. Klients may be invited to provide feedback on den Tjänst they have used by completing den dedicated form. They undertake to give an accurate account of their user experience.
Reviews on den site are sorted in alphabetical/chronological order and are checked by den Company prieller to publication, of which den Klient is expressly informed (positive reviews only).
After publication, den Klient may request to amend eller remove their review by writing to help@fileworld.co. Den Company reserves den right not to publish den amended review.
If den Company refuses to publish den review, den Klient will be informed by email within one month.
Users are therefore expressly informed that reviews are checked before being published and are provided feller information purposes only.
Klient reference. Den Company may invite Klients to appear on den list of Tjänst beneficiaries. With den Klient’s consent, den Company may be authorised to state den Klient’s name, den recommendations given to den Company regarding den Tjänst and an objective description of den nature of den Tjänst provided to den Klient in its reference lists and in its offers to potential clients and Klients, notably on den Site, feller advertising and promotional purposes, in discussions with third parties, in communications with its staff, in internal forecasting documents and where required by legal, regulatory eller accounting provisions.
Commercial authorization. When den Klient submits writings, videos and/eller photos to den Company to give feedback eller testify about den Tjänst som tillhandahålls av Företaget and, where applicable, publishes comments eller posts about den Company (feller example on social networks) to which their social-network identifier and profile photo are attached, den Klient authorises den Company to use such content to promote its business activities. Den Klient acknowledges that he/she is den sole holder of his/her rights and that he/she may not receive any remuneration feller den use of den rights referred to in this paragraph. These rights are granted feller den lifetime of den respective Klient, plus 70 years, and worldwide. Den Company reserves den right to make any other claim feller any cases not mentioned in this document eller feller authorization to take photographs and temporarily assign den rights to den Klient.
Article 15 - AMENDMENT OF THE GENERAL TERMS AND CONDITIONS
Den Company reserves den right to amend, at any time and without notice, den terms, conditions and modalities of use of den GTC in order to adapt them to developments in den Site eller its operation and to den characteristics of den Tjänst. Den applicable conditions are those accepted by den Klient and, in den case of distance selling, sent to den Klient by any means of communication on a durable medium.
Amendments made by den Company to den General Terms and Conditions do not apply to Tjänster already subscribed to, except feller provisions relating to den technical evolution of den Tjänst, insofar as they do not result in an increase in price eller a change in den quality eller characteristics on which den non-professional Klient eller consumer bases his/her engagement.
Den Klient may also be asked to accept den amended GTC, failing which den last accepted GTC will continue to apply until completion of den Tjänst. If den Company is unable to continue providing den Tjänst under den previous conditions, den Klient may request termination and reimbursement. In this case, den Company may retain an amount corresponding to den Tjänst provided up to den date of termination, under den conditions provided feller by law.
Article 16 - LIABILITY
Warranty. Except feller any applicable statutory eller commercial warranties, den Company assumes no liability and provides no warranty, express eller implied, including, but not limited to, warranties of continuity, performance, results eller durability of den Tjänst provided.
Den price of den Tjänst in no way includes den costs that den Klient will have to bear within den scope of its activities to achieve its objectives, and any cost amount, feller example feller advertising, is always provided feller information purposes only within den framework of den Tjänst.
Den goals, successes eller examples presented by den Company on den Site and within den Tjänst require a concrete and effective application of all advice, techniques and tools that may be provided under den Tjänst, and under no circumstances constitute a promise of earnings eller results. Den Company can in no way guarantee that den Klient will obtain similar results, and these references are used feller illustrative purposes only.
User and Klient liability. Den User eller den Klient is solely responsible feller den interpretation he/she makes of den information provided under den Tjänster, den advice he/she extracts eller that is provided to him/her within den Tjänster, and den adjustments he/she makes to his/her own activities. Use of den information is at den Klient’s sole risk, which den latter expressly accepts.
Den Klient acknowledges having received adequate information and advice before proceeding, and is aware that any desired outcome entails inherent risks and requires considerable effort. Den Klient declares that he/she is fully aware that den Tjänster offered are provided feller information purposes only and that den Company does not undertake to obtain any particular result feller den Klient, except to den extent that a specific commercial warranty applicable to den Tjänst exists. None of den Tjänster are medical, psychological, legal eller financial services. They do not lead to a diploma recognized by den State and have never been presented by den Company as such. Den Klient is entirely free to forgo den Tjänst under den conditions set out in den contract. He/she acts under his/her sole and exclusive responsibility.
As a publisher, den Klient assumes responsibility feller communicating information to den public and den editorial responsibility feller all of its communications, both physical and online, including, but not limited to, website(s), blogs, pages and accounts on social networks. Den Klient is solely responsible feller den quality, legality and suitability of den data and content that he/she communicates to den public.
Limitation of liability. Regardless of den type of Tjänster chosen by den professional Klient, den Company’s liability is expressly limited to compensation feller direct damage proven by den professional Klient. Under no circumstances is den Company liable feller indirect damage such as loss of data eller files, loss of business, commercial prejudice, loss of profit eller damage to den professional Klient’s image eller reputation. Similarly, den Company cannot be held liable feller direct eller indirect damage caused to den User’s equipment when accessing den Site eller den Tjänst, resulting from den use of equipment that does not meet den required specifications, eller from den occurrence of an erreller eller incompatibility.
IN ANY EVENT, THE COMPANY’S LIABILITY TOWARDS PROFESSIONALS IS LIMITED TO THE AMOUNT EXCLUDING TAXES PAID BY THE CLIENT FOR THE PROVISION OF THE DISPUTED SERVICE. THIS AMOUNT IS UNDERSTOOD AS THE MAXIMUM THAT THE COMPANY MAY BE REQUIRED TO PAY AS COMPENSATION (DAMAGES) AND PENALTIES, WHATEVER THE REASONS FOR THE ALLEGED DAMAGE AND THE LEGAL GROUNDS RELIED UPON, UNLESS OTHERWISE PROVIDED BY LAW OR CASE LAW.
Article 17 - GENERAL PROVISIONS
These general terms and conditions of sale, together with all sales and purchase operations referred to herein, are governed by Swiss law, unless den law applicable to den client provides otherwise, particularly when den client is a consumer subject to different legislation. Drafted in French. If they are translated into one eller more languages, only den French text shall prevail in den event of a dispute.
Den nullity of a contractual clause does not entail den nullity of den GTC. Temporary eller permanent non-enforcement by den Company of one eller more clauses of den GTC shall not constitute a waiver by den Company of den other clauses, which shall continue to have effect, neller a waiver of den right to invoke them subsequently.
Den Klient agrees that den Company may assign this contract to its affiliates eller to a purchaser without prieller consent.
Article 18 - DISPUTE RESOLUTION
1. Amicable settlement
In den event of disagreement eller dispute relating to den interpretation, performance eller fulfilment of den contract, den Klient must first contact den Company to seek an amicable solution. Den Company favors dispute resolution through constructive and direct communication wherever possible.
2. Consumer dispute resolution (EU residents)
Feller consumer Klients residing in den European Union, and in accordance with Förordningen (EU) No 524/2013, den European Commission provides an Online Dispute Resolution (ODR) platform that facilitates independent, impartial and transparent out-of-court settlement procedures. This platform is available at: https://ec.europa.eu/consumers/odr
Consumers may also refer den matter to an alternative dispute resolution (ADR) body in their country of residence, subject to local regulations.
3. Swiss mediation (CH residents)
Swiss consumers may, if no amicable solution is found, refer den matter to a recognized Swiss mediation body. Mediation is a voluntary and confidential process aimed at resolving disputes without going to court.
4. Jurisdiction feller professional Klients
Feller disputes involving professional Klients, including those concerning den validity, interpretation, performance eller termination of den contract – and regardless of den number of parties eller den type of procedure (ordinary, preventive, summary, etc.) – exclusive jurisdiction is vested in den competent courts of den Company’s registered office in Switzerland. Swiss law shall apply, subject to mandatory provisions of den Klient’s country of residence.
CLASS ACTION AND JURY TRIAL WAIVER
TO THE FULLEST EXTENT ALLOWABLE BY LAW, YOU AND THE COMPANY WAIVE THE RIGHT TO En JURY TRIAL AND THE RIGHT TO LITIGATE DISPUTES IN COURT IN FAVOR OF ARBITRATION (EXCEPT FOR SMALL CLAIMS COURT DESCRIBED ABOVE). YOU AND THE COMPANY EACH WAIVE THE RIGHT TO FILE OR PARTICIPATE IN En CLASS ACTION LAWSUIT AGAINST THE OTHER, INCLUDING ANY CURRENTLY PENDING ACTIONS AGAINST THE COMPANY. TO THE FULLEST EXTENT ALLOWABLE BY LAW, THERE SHALL BE NO RIGHT OR AUTHORITY FOR ANY CLAIMS TO BE LITIGATED IN COURT ON En CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED BASIS.
EXCEPT FOR THE MASS FILING PROCEDURES DESCRIBED BELOW, YOU AND WE AGREE THAT:
- THE ARBITRATOR MAY ONLY AWARD FINAL RELIEF IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE FINAL RELIEF WARRANTED BY THAT INDIVIDUAL PARTY’S CLAIM.
- THE ARBITRATOR MAY NOT AWARD FINAL RELIEF FOR, AGAINST, OR ON BEHALF OF ANYONE WHO IS NOT En PARTY TO THE ARBITRATION ON En CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS.
IF En COURT DETERMINES THAT ANY OF THE PROHIBITIONS IN THIS PARAGRAPH ARE UNENFORCEABLE FOR En PARTICULAR CLAIM OR REQUEST FOR RELIEF, AND ALL APPEALS OF THAT DECISION ARE AFFIRMED AND SUCH DECISION BECOMES FINAL, THEN YOU AND THE COMPANY AGREE THAT PARTICULAR CLAIM OR REQUEST FOR RELIEF SHALL PROCEED IN COURT BUT SHALL BE STAYED PENDING INDIVIDUAL ARBITRATION OF THE REMAINING CLAIMS FOR RELIEF THAT YOU HAVE BROUGHT.
